Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Pynclo (“Pynclo,” “we,” “our,” or “us”) governing your access to and use of the Pynclo platform, including our website at pynclo.club, web applications, and mobile applications (collectively, the “Service”).

By accessing or using the Service, you confirm that you are at least 13 years old, that you have the legal capacity to enter into these Terms, and that you agree to be bound by them.

Pynclo is a private, invite-only communication platform that allows users to create and participate in “Circles” — private groups for families, friends, communities, project teams, and other trusted groups. Key features include:

• Creating private Circles and inviting members by email
• End-to-end encrypted group and direct messaging
• Announcements, events, polls, file sharing, and photo albums
• Role-based access control (Owner, Admin, Moderator, Member)
• Voice and video calls (coming soon)
• AI-powered features (coming soon)

To use Pynclo, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Not share your password or allow others to access your account
• Notify us immediately of any unauthorized access to your account at support@pynclo.club
• Be responsible for all activity that occurs under your account

You may only maintain one personal account. Creating multiple accounts to circumvent restrictions or bans is prohibited.

Pynclo operates on an invite-only model. You may only join a Circle by receiving and accepting a valid invitation from a Circle admin. By participating in a Circle, you agree to:

• Respect the rules and guidelines set by the Circle admin or owner
• Not attempt to join Circles to which you have not been invited
• Not share invitation links or codes with unauthorized parties
• Accept that Circle admins may remove you at any time

Circle owners and admins are responsible for managing their Circles and the conduct of their members within those Circles.

You agree to use Pynclo only for lawful purposes and in a manner consistent with these Terms. You must not:

• Post, share, or distribute content that is unlawful, defamatory, obscene, pornographic, abusive, threatening, harassing, or hateful
• Engage in, facilitate, or promote illegal activities of any kind
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Send unsolicited or unauthorized messages, spam, or promotional content
• Upload or transmit malware, viruses, or other malicious code
• Attempt to gain unauthorized access to Pynclo systems, other accounts, or other users' data
• Scrape, crawl, or extract data from the platform without authorization
• Use the Service to violate the privacy of others or collect their personal information without consent
• Distribute child sexual abuse material (CSAM) or any content that exploits or harms minors
• Use the Service in a way that could damage, disable, or impair the platform or its servers
• Circumvent, disable, or interfere with any security-related features of the Service

Violation of these rules may result in immediate suspension or termination of your account and reporting to appropriate authorities.

6.1 Ownership

You retain ownership of all content you create and share on Pynclo (“Your Content”). By posting content to the platform, you grant Pynclo a limited, non-exclusive, royalty-free license to store, process, and transmit Your Content solely for the purpose of providing the Service to you and other authorized members of your Circle.

6.2 Responsibility

You are solely responsible for Your Content and the consequences of sharing it. Pynclo does not endorse any content posted by users and is not liable for any content shared through the platform.

6.3 Content Removal

We reserve the right to remove or restrict access to any content that violates these Terms or applicable law, without prior notice. Circle admins also have the right to remove content within their Circles.

The Pynclo name, logo, platform design, and all associated trademarks, service marks, and intellectual property are the exclusive property of Pynclo. You may not use, copy, reproduce, or distribute any Pynclo intellectual property without express written permission.

Nothing in these Terms grants you any right to use the Pynclo name or branding in connection with any product or service other than with express prior written consent.

Pynclo offers a free plan and paid subscription plans. By subscribing to a paid plan, you agree to pay the applicable fees.

• Subscription fees are billed monthly or annually, as selected
• All fees are in Indian Rupees (₹) unless otherwise stated
• Fees are non-refundable except as required by applicable law or as expressly stated in our refund policy
• We reserve the right to change pricing with 30 days' notice
• Failure to pay may result in downgrade to the free plan or suspension of your account

Your use of Pynclo is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Pynclo, you consent to the collection and use of your information as described in the Privacy Policy.

10.1 By you

You may delete your account at any time through the app settings. Upon deletion, your personal data will be permanently deleted within 30 days, subject to any legal retention obligations.

10.2 By Pynclo

We reserve the right to suspend or terminate your account, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or if required by law. We may also discontinue the Service with 30 days' notice.

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Pynclo does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee that any content on the platform is accurate, complete, or up-to-date.

To the maximum extent permitted by applicable law, Pynclo and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with:

• Your use of or inability to use the Service
• Any content posted by you or other users
• Unauthorized access to or alteration of your transmissions or data
• Any third-party conduct or content on the platform

In no event shall our total liability to you exceed the amount you have paid to Pynclo in the 12 months preceding the event giving rise to the claim, or ₹500 if you have not made any payments.

You agree to defend, indemnify, and hold harmless Pynclo and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service
• Your Content
• Your violation of these Terms
• Your violation of any rights of a third party

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

Before initiating any formal dispute, you agree to first contact us at support@pynclo.club and make a good-faith effort to resolve the matter informally.

We may modify these Terms from time to time. We will notify you of material changes by email and/or by posting a notice on our platform at least 14 days before the new Terms take effect.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and delete your account.

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pynclo regarding the Service.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Failure to enforce any provision of these Terms shall not be deemed a waiver of such provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. Pynclo may assign its rights without restriction.
